The role of the secretary is to support the chair by ensuring the board functions smoothly.
The secretary may carry out their duties directly or delegate them to a member of staff. If they delegate them, they must ensure the duties have been carried out.
Charitable companies no longer have a legal requirement to appoint a company secretary unless their governing document specifically requires one. Charitable companies can consider updating their governing document to remove the requirement.

Role description
In addition to the general responsibilities of a trustee, duties of the secretary are as follows.
• Preparing agendas in consultation with the chair and chief executive. Circulating the agenda and any supporting papers in good time.
• Making all arrangements for meetings. This includes booking the room, arranging for equipment and refreshments, and organising facilities for those with additional needs.
• Receiving agenda items from other trustees and staff.
• Checking that a quorum is present.
• Taking minutes or arranging for someone else to take them. Circulating draft minutes to all trustees.
• Ensuring that the minutes are signed by the chair once they have been approved.
• Checking that trustees and staff have carried out actions agreed at previous meetings.
• Circulating agendas and minutes of the annual general meeting and any special or extraordinary general meetings (where required).
• In organisations that are companies, fulfilling the functions of a company secretary if these responsibilities have not been delegated to a member of staff.
• Sitting on appraisal, recruitment and disciplinary panels as required.
• Promoting the service and work with wider contacts and networks.
• Providing support in addressing issues and identifying strategies to improve and enhance the service.
• Attending and contributing to regular trustee meetings and any other priority meetings that are arranged.
• Having an interest in young people agendas.
• Have interests aligned in the nature of the work undertaken by Darlaston Youth Centre.
